01 Acceptance of Terms

These Terms apply to the Nerotix ecosystem, including software platforms, SaaS products, APIs, dashboards, verification services, communication services, websites and related technology solutions operated by Nerotix.

These Terms constitute an electronic record under the Information Technology Act, 2000 and do not require a physical or digital signature.

BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE WITH THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.

02 Definitions

• "Applicable Law" means all applicable laws, rules, regulations, guidelines, notifications and orders applicable to the relevant service and use of the platform.
• "Applicable Data Protection Law" means applicable privacy and data protection laws, including the Information Technology Act, 2000 and, where applicable, the Digital Personal Data Protection Act, 2023.
• "Services" means the software, SaaS products, APIs, dashboards, verification services, messaging services, websites and other technology services provided by Nerotix.
• "Beta Products" means pre-release, testing or experimental versions of any Nerotix product or feature.
• "Intellectual Property" includes copyrights, trademarks, source code, software, APIs, designs, documentation, databases and proprietary information.

03 Eligibility & Authority

You represent that you are legally capable of entering into this Agreement. If you use the Services on behalf of a company, business or organization, you represent that you have the authority to bind that entity to these Terms.

Nerotix services are primarily intended for businesses, merchants, enterprises, developers and organizations using the Services for lawful business purposes.

04 Term

These Terms remain effective for as long as you access or use the applicable Nerotix Services, unless terminated in accordance with these Terms.

Unless specifically stated for a particular service, subscriptions or service access do not automatically renew unless separately agreed or expressly provided on the applicable service order or subscription terms.

05 Grant of License

Subject to your compliance with these Terms and payment of applicable fees, Nerotix grants you a limited, non-exclusive, non-transferable and revocable right to access and use the applicable Services on a SaaS or API basis solely for lawful business purposes.

This license does not transfer ownership of the software, source code, APIs, trademarks, designs, documentation or other intellectual property to you.

06 Trial & Beta Services

Nerotix may provide trial access, promotional access or beta features for selected Services. A standard trial, where offered, may be limited to seven (7) days unless a different period is communicated to you.

Nerotix may limit, modify, suspend or withdraw trial or beta features at any time. Beta Products may contain defects, limitations or incomplete functionality and are provided for testing and evaluation purposes.

07 Permitted & Prohibited Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You must not:

• Sell, sublicense, rent, lease, resell or distribute the Services without written authorization.
• Reverse engineer, decompile, disassemble, copy or attempt to derive the source code of the Services.
• Frame, mirror or reproduce the Services or any material from them without authorization.
• Use the Services for unlawful, fraudulent, abusive or deceptive activities.
• Attempt unauthorized access to the platform, APIs, systems, accounts or infrastructure.
• Interfere with or disrupt the operation, security or availability of the Services.
• Use APIs for unauthorized data collection, bulk scraping or illegal verification activities.
• Use verification information or personal information in violation of applicable law or required consent.
• Use messaging services to send unlawful, deceptive, abusive, unsolicited or prohibited communications.

Violation of this section may result in immediate suspension or termination of access, without prejudice to any other remedies available to Nerotix.

08 Account, Credentials & Security

You are responsible for maintaining the confidentiality and security of your account credentials, API keys, registered mobile/SIM access, passwords, wallet credentials and other authentication information associated with your account.

You must promptly notify Nerotix if you suspect unauthorized access, credential compromise or misuse of your account. Nerotix is not responsible for unauthorized use resulting from credentials or access information being compromised due to your failure to maintain appropriate security.

09 Wallet, Fees & Payments

Certain Nerotix Services operate on a prepaid wallet or usage-based billing model. Applicable charges may be deducted from the available wallet balance when you use a paid API, verification request, messaging service or other metered feature.

Unless otherwise stated or required by applicable law, payments and wallet recharges are prepaid and non-refundable. You are responsible for maintaining sufficient balance to continue using metered Services.

Where applicable, taxes including GST will be charged in accordance with law. Tax invoices may be generated for eligible payments and wallet recharges.

For Services where specific pricing, minimum recharge amounts, validity periods or wallet-expiry rules are published, those service-specific commercial terms will apply.

10 Pricing Changes

Nerotix may revise service, API, subscription or usage charges from time to time. Where prior notice is required or commercially appropriate, updated pricing will be communicated through the applicable platform, website, account notice or other reasonable means.

11 Data Protection & Privacy

Your use of the Services is also subject to the Nerotix Privacy Policy, which explains how personal information is collected, used, processed, shared and protected.

Where you submit personal information or verification data through the Services on behalf of your customers, users or other individuals, you are responsible for obtaining all required notices, consents, permissions and lawful authority for such processing.

For verification services, you are responsible for ensuring that your use of identity, KYC, banking, business, vehicle or other verification data complies with applicable laws and regulatory requirements.

12 Messaging & WhatsApp Services

Certain Nerotix Services may provide messaging functionality and integrations with WhatsApp Business services, including Meta's WhatsApp Cloud API infrastructure.

Where such third-party infrastructure is used, messaging data may be processed through the relevant third-party platform. You are responsible for complying with applicable WhatsApp, Meta and messaging policies and for obtaining any required user permissions.

Nerotix may suspend messaging functionality if required by the third-party provider, applicable law, security requirements or our policies.

13 API Usage Policy

Nerotix may provide APIs for identity verification, KYC, business verification, banking verification, GST verification, vehicle verification, communication and other technology services.

API access is provided solely for lawful business purposes. You must not use the APIs for unauthorized data collection, bulk scraping, illegal verification, fraud, circumvention of security controls or any activity prohibited by applicable law.

Nerotix may monitor API usage for security, billing, reliability, abuse prevention and service administration. Excessive, abusive or suspicious usage may result in rate limiting, suspension or termination.

14 Verification Services

Verification services may use information obtained from government databases, public records, regulated providers, authorized partners or other third-party data sources.

Verification results depend on the availability, accuracy and quality of the underlying sources. Nerotix does not guarantee that every result will be complete, current, error-free or suitable for every business decision.

You remain responsible for independently evaluating results and for decisions made using verification information, subject to applicable law and your contractual relationship with Nerotix.

15 Regulatory Compliance

You are solely responsible for ensuring that your use of Nerotix Services complies with all applicable laws, regulations, industry requirements and contractual obligations applicable to your business.

This includes applicable privacy and data protection requirements, consent requirements, sector-specific regulations and rules governing identity, financial, communication or verification data.

16 Intellectual Property

All rights, title and interest in the Nerotix Services, including software, source code, APIs, designs, interfaces, documentation, trademarks, logos and other proprietary materials, remain the property of Nerotix or its licensors.

Except for the limited license expressly granted under these Terms, no rights are transferred to you.

17 Confidentiality

Each party agrees to protect confidential information received from the other party and to use such information only for purposes connected with the Services and these Terms.

Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, lawfully received from another source, or required to be disclosed by law or a competent authority.

18 Third-Party Services

Nerotix may integrate with or rely upon third-party services, including cloud infrastructure, payment providers, communication platforms, verification providers and other technology partners.

Third-party services may be subject to separate terms, policies, availability limitations and charges. Nerotix is not responsible for third-party services to the extent they are outside Nerotix's reasonable control.

19 Service Availability

We aim to provide reliable and continuous Services but do not guarantee uninterrupted, error-free or completely secure operation at all times.

Services may become temporarily unavailable due to maintenance, upgrades, infrastructure issues, security incidents, third-party outages, regulatory requirements or other circumstances beyond our reasonable control.

20 Suspension & Termination

Nerotix may suspend, restrict or terminate access to the Services where reasonably necessary due to security concerns, legal or regulatory requirements, non-payment, misuse, suspected fraud, violation of these Terms or risk to the platform or other users.

Upon termination, your right to use the affected Services will cease. Provisions which by their nature should survive termination, including intellectual property, confidentiality, payment obligations, limitations of liability and governing law, will continue to apply.

21 Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as available" and "as is" basis. Nerotix does not warrant that the Services will always be uninterrupted, completely secure, error-free or suitable for every particular business purpose.

You are responsible for determining whether the Services are appropriate for your intended use and for maintaining suitable backup, security and business continuity measures.

22 Limitation of Liability

To the maximum extent permitted by applicable law, Nerotix shall not be liable for indirect, incidental, special, consequential or exemplary losses, including loss of profits, revenue, business opportunities, goodwill or data arising from or related to the Services.

To the extent liability cannot be excluded, the maximum aggregate liability of Nerotix arising from or relating to the Services or these Terms shall not exceed the total fees actually paid by the Client to Nerotix during the twelve (12) months immediately preceding the event giving rise to the claim.

23 Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Nerotix, its affiliates, officers, employees and service providers from claims, losses, liabilities, damages, costs and expenses arising from your unlawful use of the Services, violation of these Terms, infringement of third-party rights or failure to obtain required permissions or consents.

24 Force Majeure

Neither party shall be liable for delay or failure to perform obligations caused by events beyond reasonable control, including natural disasters, war, terrorism, government actions, epidemics, infrastructure failures, internet disruptions, power failures, labor disputes or failures of third-party services.

25 Assignment

Nerotix may assign or transfer its rights and obligations under these Terms as part of a restructuring, merger, acquisition, sale of assets or other business transaction.

You may not assign or transfer these Terms or your account without Nerotix's prior written consent.

26 Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

Failure or delay by either party to enforce any provision shall not constitute a waiver of that provision or any other provision. Any waiver must be made in writing.

27 Changes to These Terms

Nerotix may update these Terms from time to time to reflect changes in Services, technology, business practices or applicable legal and regulatory requirements.

Updated Terms will be published on this page with a revised effective date. Your continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

28 Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable law, the courts located in Gwalior, Madhya Pradesh, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
